These Terms of Use (“Terms”) govern your access to and use of the Newton Metrics application and website (collectively, the “Service”) operated by Careplan Health Technologies Inc. (“Newton Metrics”, “we”, “us”, or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
The Service is intended for use by licensed or registered healthcare professionals only. By using the Service, you represent and warrant that you are a qualified healthcare professional and that your use of the Service complies with all applicable laws, regulations, and professional standards in your jurisdiction.
You must create an account to access certain features of the Service. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately at info@newtonmetrics.com if you suspect unauthorized access to your account. We reserve the right to suspend or terminate accounts that violate these Terms.
You may use the Service solely for lawful, professional healthcare purposes. You agree not to:
The Service is a clinical support tool and is not a substitute for professional medical judgment. All assessments, exercise programs, AI-generated documentation, and outputs produced by the Service are intended to assist qualified healthcare professionals — they do not constitute medical advice, diagnosis, or treatment. You are solely responsible for all clinical decisions made using the Service. Newton Metrics assumes no liability for patient outcomes resulting from the use or misuse of the Service.
The Service includes AI-assisted features such as automated clinical documentation. AI-generated content may contain errors or omissions. You are responsible for reviewing, verifying, and taking professional responsibility for any AI-generated content before relying on it or sharing it with patients or other parties. Do not use AI-generated content as a sole basis for clinical decisions.
All content, features, and functionality of the Service — including but not limited to software, text, graphics, logos, and assessment methodologies — are the exclusive property of Careplan Health Technologies Inc. and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose. No rights are transferred to you beyond what is expressly stated in these Terms.
You retain ownership of any data you input into the Service. By using the Service, you grant us a limited licence to process your data solely to provide and improve the Service. We handle your data in accordance with our Privacy Policy, which is incorporated into these Terms by reference.
Certain features of the Service require a paid subscription. Subscription fees are billed in accordance with the plan you select at the time of purchase. All fees are in US dollars unless otherwise stated. We reserve the right to change pricing with reasonable notice. Fees are non-refundable except where required by applicable law.
You may terminate your account at any time through the in-app settings or by contacting us at info@newtonmetrics.com. We reserve the right to suspend or terminate your access to the Service at our discretion, with or without notice, if you breach these Terms or if we determine your use poses a risk to other users or the platform. Upon termination, your right to use the Service ceases immediately and your data will be handled in accordance with our Privacy Policy.
To the maximum extent permitted by applicable law, Careplan Health Technologies Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of revenue, or patient harm, arising out of or in connection with your use of the Service. Our total liability to you for any claim arising from these Terms or the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.
We may update these Terms from time to time. We will notify you of material changes by email or through a notice in the Service. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms.
